Formation of New Company

Preparation of Minutes of Meetings and Resolutions

A resolution is written (circular) documentation describing an action authorized by the board of directors or Members of a corporation. Minutes are a written documentation that describes items discussed by the directors or Members during a board meeting or Members’ meeting, including actions taken and resolutions passed.

Organising Meetings of Directors and Members

We assist in organising formal meetings of the Board of Directors and also meetings of the Members of a Company.

Submission of Annual Return via Malaysian Business Reporting System (MBRS)

The Malaysian Business Reporting System (MBRS) refers to the submission platform based on the eXtensible Business Reporting Language (XBRL) format.​ It allows for the submission of Annual Return (AR), Financial Statements and Report (FS) and Exemption Applications (EA) related to the FS and AR.

Maintenance of Statutory Records

Keeping and maintenance of Statutory Records such as the Register of Members, Share Certificate Book and Minutes Book of the Company.

Allotment and Transfer of Shares in Company

A company may allot shares when it is first set up or at any time during its lifetime in order to raise share capital and/or introduce new shareholders. Brisk Management Sdn. Bhd. will assist to prepare the relevant documentations for the company.

Provision of Office as Registered Address

A company registered in Malaysia is required to have a registered office address for the keeping and maintenance of its Statutory Records. We offer the service of provision of registered address for your company.

Company Searches via MyDATA-SSM and SSM e-info

We provide the service of Company Searches via SSM e-info and MyDATA-SSM. MYDATA is a legitimate and legal source of information on companies and businesses incorporated and registered in Malaysia.

De-registration of Company (Striking-off)

Subject to Section 549, the Registrar may strike a company off the register either on his own motion or upon an application by a director, member or liquidator of company. If the company have ceased operation and does not intend to commence any business operation in future, the best way is to strike the company off the register and it is the easier cum cost effective way to close down a company. In order to make your company eligible to strike off, your company will need to fulfill certain requirements before submitting the application for striking off to SSM.

Voluntary Winding-Up of Company by Members

We do offer the service of Members’ Voluntary Winding Up if you would like to close down your company by way of Members’ Voluntary Winding Up. It is a process whereby the members of a solvent company adopt a voluntary winding up resolution and appoint a liquidator to realise the assets of the business in order to distribute the proceeds to company’s members.
